Grace & Naeem Uddin, Inc. v. Miami-Dade County

Case No. 2025-0492

The Third District reversed the dismissal of a contractor's breach of contract suit against Miami-Dade County, holding that the contract's provision allowing a party that 'wishes to protest' the designee's decision to 'may commence an action' was permissive, not a mandatory exhaustion precondition. Because the County drafted the contract, any ambiguity was construed against it. A specially concurring opinion admonishes litigants that a contract must be read as a whole and that supplying only excerpts to the court is a risky practice.
